Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “Customer”, or “you”) and Zynapte Technologies Private Limited (“Zynapte”, “we”, “us”, or “our”). By accessing, purchasing, or using any of our software, SaaS products, or services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Scope of Services

Zynapte provides digital and technology services, including website development, CRM and automation, SaaS platforms, cloud and email migration, digital marketing, IoT solutions, and other related services. Each engagement is governed by an accepted quotation, proposal, or purchase order (“PO”), which forms part of these Terms.

3. Payment Terms

3.1 SaaS (Software-as-a-Service)

  • All SaaS subscriptions are 100% prepaid.
  • Full payment including applicable GST must be made before service activation or renewal.
  • No SaaS access or license will be provided until payment confirmation is received.

3.2 Project-Based or Custom Services

  • Advance Payment: 60% of the total project value plus full GST on the entire project amount is payable before commencement of work or resource allocation.
  • Before Handover: The remaining 40% balance plus GST must be paid before final delivery, deployment, or credential handover.
  • Services will not begin until the full GST amount and initial advance are received.

3.3 Invoicing

  • Invoices will be raised separately for each milestone or payment stage unless otherwise specified.
  • All invoices are payable within 7 calendar days of issue.
  • Payments must be made via bank transfer, UPI, cheque, or authorized payment gateway to Zynapte’s official account.

3.4 Late Payment & Interest

  • A late fee of 3% per month (pro-rated daily) or ₹500 per day, whichever is higher, will be charged on overdue amounts.
  • Zynapte reserves the right to suspend or terminate ongoing work and revoke access until dues are cleared.
  • Payments delayed over 30 days may trigger legal or MSME recovery proceedings, with all costs borne by the client.

4. Service Delivery

  • Zynapte will deliver services as per the agreed scope and schedule.
  • Client must provide required content, credentials, and approvals promptly.
  • Delays caused by client inaction or access issues extend delivery timelines.
  • Deliverables are deemed accepted if no written feedback is provided within 5 working days.

5. Intellectual Property Rights

  • All materials, designs, and source code remain Zynapte’s property until full payment including GST is received.
  • Upon full settlement, the client receives a non-exclusive, perpetual license for internal use.
  • Pre-existing tools, frameworks, or modules remain Zynapte’s property.
  • Zynapte may showcase non-confidential work in its portfolio.

6. Confidentiality and Data Protection

Both parties agree to maintain confidentiality of non-public data shared during the engagement. Zynapte uses reasonable security practices but cannot guarantee absolute protection against cyber incidents. Confidentiality obligations survive completion or termination.

7. Warranties and Limitations

Zynapte warrants professional service delivery as per the agreed scope. However, no guarantee is made for error-free or uninterrupted operation unless covered by a separate SLA. Our total liability shall not exceed the fees paid in the preceding 12 months. We are not liable for indirect, incidental, or consequential losses.

8. Termination

  • Either party may terminate with 30 days’ written notice for recurring services.
  • Immediate termination may occur for breach, non-payment, or misuse.
  • Upon termination, all outstanding dues become immediately payable.

9. Jurisdiction and Governing Law

These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal. At Zynapte’s discretion, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, in English, at Kolkata.
